Leadancy is a digital marketing agency primarily serving clients in the United States. These Terms are designed to comply with both EU/French law (including GDPR) and applicable US federal and state laws (including the TCPA, CAN-SPAM Act, and CCPA where applicable).

 

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you", or "your") and Leadancy ("Company", "we", "us", or "our"), a digital marketing and software agency registered in France.

 

By accessing our website at leadancy.com, engaging our services, signing a service agreement, or communicating with us via any channel including SMS, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use our services.

 

We reserve the right to update these Terms at any time. Continued use of our services following any changes constitutes acceptance of the revised Terms. We will notify clients of material changes via email or through our website.

 

2. Description of Services

Leadancy provides the following done-for-you digital marketing and software services to local business owners:

•        Lead Generation: Designing and managing campaigns to attract and capture qualified leads for your business

•        Website Design & Development: Creating professional, conversion-optimised websites tailored to your business

•        Marketing Automations: Setting up automated workflows, follow-up sequences, and CRM pipelines using GoHighLevel

•        Appointment Setting: Managing inbound and outbound appointment booking on behalf of your business

•        Ongoing Maintenance: Monitoring, updating, and optimising your digital assets on a recurring basis

•        SMS & Email Campaigns: Designing and sending targeted SMS and email communications to your leads and clients

 

All services are delivered on a subscription or project basis as outlined in your individual service agreement or proposal.

 

3. SMS Messaging Terms

This section governs all SMS communications sent by Leadancy or on behalf of our clients. These terms comply with A2P 10DLC regulations, the Telephone Consumer Protection Act (TCPA), and all applicable carrier requirements.

 

3.1 Opt-In & TCPA Compliance

By providing your mobile phone number and expressly consenting to receive SMS messages from Leadancy or our clients, you agree to receive text messages including appointment reminders, lead follow-ups, promotional offers, service updates, and business communications. Your consent is not a condition of purchase.

In full compliance with the TCPA, we only send SMS messages to individuals who have provided prior express written consent. All consent records are documented, timestamped, and retained. Our clients are contractually required to obtain proper TCPA-compliant consent from their own leads and customers before any SMS communications are sent on their behalf.

3.2 Opt-Out Instructions

You may opt out of receiving SMS messages at any time by replying STOP to any message. Upon receipt of your STOP request, we will send one final confirmation message and remove your number from our list immediately. No further messages will be sent unless you re-opt in by replying START.

3.3 HELP Instructions

3.4 Message Frequency

Message frequency varies depending on the service and campaign type. For appointment-based services, you may receive between 1 and 5 messages per week. Frequency for lead generation campaigns will be disclosed at the point of opt-in.

3.5 Message & Data Rates

Standard message and data rates may apply depending on your mobile carrier and plan. Leadancy is not responsible for any charges applied by your carrier in connection with SMS messages received from us.

3.6 Carrier Liability Disclaimer

Mobile carriers are not liable for delayed or undelivered messages. Leadancy does not guarantee SMS delivery and is not responsible for failures caused by carrier networks, technical issues, or factors outside our control.

3.7 CAN-SPAM Compliance

All marketing emails sent by Leadancy comply with the CAN-SPAM Act. Every marketing email includes clear sender identification, a valid physical postal address, and a clear opt-out mechanism. Opt-out requests are honoured within 10 business days.

3.8 SMS Data Privacy

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes. SMS opt-in data and consent will not be shared with any third party under any circumstances.

4. User Responsibilities

By using our services, you agree to:

•        Provide accurate, complete, and up-to-date information during onboarding and throughout the service relationship

•        Cooperate with Leadancy in a timely manner to provide content, approvals, and feedback required to deliver services

•        Ensure that all contact lists, databases, or leads you provide have been obtained lawfully and with appropriate TCPA-compliant written consent for SMS communications

•        Comply with all applicable laws and regulations, including GDPR, CCPA, TCPA, CAN-SPAM, French data protection law, and applicable telecommunications regulations

•        Not use our services to engage in any unlawful, fraudulent, or harmful activity

•        Keep your account credentials and access details secure and confidential

•        Notify us promptly of any unauthorised use of your account or any security breach

 

5. Acceptable Use Policy

You agree not to use our services, platform access, or any tools we provide to:

•        Send unsolicited communications (spam) to individuals who have not provided TCPA-compliant consent

•        Transmit content that is illegal, defamatory, obscene, threatening, or invasive of privacy

•        Infringe on the intellectual property rights of any third party

•        Engage in phishing, fraud, or deceptive marketing practices in violation of FTC regulations

•        Attempt to gain unauthorised access to our systems, servers, or databases

•        Transmit viruses, malware, or any other harmful code

•        Violate any applicable local, national, or international law or regulation

 

Violation of this Acceptable Use Policy may result in immediate suspension or termination of services without refund, at our sole discretion.

 

6. Intellectual Property

6.1 Our Materials

All content, systems, templates, workflows, methodologies, software configurations, and materials created by Leadancy remain our intellectual property unless explicitly transferred in writing.

6.2 Client Materials

You retain ownership of all content, logos, branding, and materials you provide to us. By providing such materials, you grant Leadancy a non-exclusive, royalty-free licence to use them solely for the purpose of delivering your contracted services.

6.3 Deliverables

Upon full payment of all fees, ownership of agreed deliverables transfers to you, unless otherwise specified in your service agreement. Underlying frameworks, templates, and third-party tools remain subject to their respective licences.

 

7. Payment Terms

•        Fees for services are outlined in your individual service agreement or proposal

•        Subscription fees are billed monthly or as agreed and are due on the billing date specified in your agreement

•        One-time setup fees are due prior to commencement of work unless otherwise agreed in writing

•        Late payments may result in suspension of services after a 7-day grace period

•        All fees are exclusive of applicable taxes, including VAT under French law and applicable US state sales taxes

•        Refunds are issued at our discretion and only in circumstances outlined in your individual service agreement

 

8. Confidentiality

Both parties agree to keep confidential any proprietary, business, or technical information disclosed during the course of the service relationship that is not publicly available. This obligation survives termination for two (2) years. Leadancy will not disclose your client data, business strategies, or operational information to any third party without your consent, except as required by law in France, the EU, or the United States.

 

9. Disclaimers

OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, LEADANCY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

•        Warranties of merchantability, fitness for a particular purpose, or non-infringement

•        Guarantees of specific results, including lead volume, revenue growth, or conversion rates

•        Uninterrupted or error-free operation of any tools, platforms, or automations

•        The accuracy or completeness of any third-party data or platform including GoHighLevel

 

Digital marketing results vary based on industry, market conditions, competition, and client-side factors outside our control. We do not guarantee any specific outcome from our services.

 

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEADANCY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR REPUTATIONAL DAMAGE.

 

In no event shall our total liability exceed the total fees paid by you to Leadancy in the three (3) months immediately preceding the event giving rise to the claim. Some US states do not allow limitation of certain damages, so the above limitation may not apply to you to the extent prohibited by applicable state law.

 

11. Termination

Either party may terminate the service agreement with written notice as specified in the individual service contract. Upon termination:

•        All outstanding fees become immediately due and payable

•        We will provide reasonable access to export your data for 30 days

•        Any licences granted to you under these Terms will immediately cease

•        Sections relating to confidentiality, intellectual property, and limitation of liability survive termination

 

12. Governing Law & Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of France and applicable EU regulations, without regard to conflict of law principles.

12.2 US Clients

For clients based in the United States, both parties acknowledge that US federal laws including the TCPA, CAN-SPAM Act, and FTC regulations apply to the services provided. California residents have additional rights under the CCPA as outlined in our Privacy Policy.

12.3 Dispute Resolution

Before initiating any legal proceedings, both parties agree to attempt to resolve disputes in good faith through direct negotiation for a period of 30 days from written notice of the dispute. Thereafter, disputes shall be subject to the exclusive jurisdiction of the competent courts of France.

13. Third-Party Services

Our services rely on GoHighLevel (CRM and automation), payment processors, and communication tools. We are not responsible for the availability, performance, or policies of these third-party services. Your use of third-party platforms is governed by their respective terms and privacy policies.

 

14. Privacy
